  • Prepare and maintain secretarial documentation (agenda and minutes) for Board Meetings, Committee Meetings, and Shareholders Meetings.
  • Manage routine corporate actions such as increase in share capital, private placements, right issues and all periodic / annual filings under Companies Act, 2013, RBI and other regulatory bodies.
  • Managing business licensing and regulatory registrations.
  • Maintenance of statutory registers and minute books in compliance with applicable laws and regulations.
  • Assist in compliance and governance of overseas group entities (holding company and sister concerns of the Company).
  • Provide in-house support for overseas entities to the local consultants/counsels.
  • Draft and review company policies and procedures.
  • Liaise with external stakeholders like auditors and regulators.
  • Ensure compliance of the organization with all applicable laws

 

REQUIREMENTS AND SKILLS
 CS with 3-4 years of work experience in secretarial and legal function
 Experience in banking / NBFC sector is preferred
 Understanding of corporate law and governance
 Experience in a secretarial or governance role is preferred
 Excellent written and verbal communication skills
